CDC GETS RESTRUCTURING EXEC

C.K. Wong, CDC SoftwareCDC Software, which filed for Chapter 11 protection after a $65 million judgment against it, is now being run by Marc Watson as chief restructuring officer. As part of a restructuring agreement approved on December 2011, Watson has complete authority to make decisions about CDC’s business.

CDC Software’s best-known products are the Ross ERP and Pivotal CRM lines. On December 31, the company ratified an agreement, effective October 11, for the services of Dr. CK Wong as interim acting CEO for a six-month term which is extendable to one year. The agreement was between CDC Software Asia Corp. and Tonteec Ltd. Tonteec gets $100,000 per month for Wong’s services and 50,000 restricted shares of the company’s class A ordinary stock. There is also a potential cash bonus. CDC Software will reimburse Tonteec for Wong’s expenses related to travel and entertainment and living expenses when he is in Atlanta, Ga. CDC got itself into a mess after, under CEO Peter Yip, it amended a debenture issue to state it was no longer convertible and was successfully sued by debt holders. After Yip was found to have lied under oath during the court action he was at first removed as CEO then reinstated and placed Yip on medical leave. That action produced investor outrage and caused NASDAQ to delist the company’s stock, which now trades in the pink sheets. CDC was scheduled to have a hearing before NASDAQ this week to appeal the delisting, but was considering actions that include deregistering its stock if the appeal is unsuccessful.
